Code of Conduct

The Code of Conduct of FOSTER FACILITY contains important rules of conduct that help us respond properly and adequately to ethical and legal questions encountered in strategic thinking and decision-making processes.

1. COMPLIANCE

The compliance with applicable laws and other regulations is the basis for making decisions and acting in business and is firmly anchored in our corporate culture.

2. PROHIBITION OF CORRUPTION

FOSTER FACILITY is against corruption and providing bribes. Commercial practices involving the use of unfair means are not tolerated. Employees of FOSTER FACILITY are not allowed to offer their business partners any benefits that would lead to violation of an objective and fair business decision-making, or might just give such impression, and are not allowed to receive or accept such benefits from them.

3. PREVENTION OF CONFLICT OF INTERESTS

FOSTER FACILITY makes business decisions exclusively in the best interests of the company. Any potential conflict of interests with private affairs or other economic or any other activities, including those which concern close persons or organizations, shall be nipped in the bud. However, if such a case occurs, it shall be resolved in accordance with applicable laws and internal guidelines. Such a procedure is conditioned by transparent informing of a superior of the conflict of interests.

4. MONEY LAUNDERING

No employee shall, whether alone or jointly with others, commit acts which violate domestic or foreign regulations against money laundering. In case of doubt as to the admissibility of transactions that involve the transfer of cash, it is necessary to contact the finance department as soon as possible.

5. GIFTS AND OTHER MATERIAL BENEFITS

Employees of FOSTER FACILITY are not allowed to request, receive, offer or provide – whether directly or indirectly – unauthorized material benefits in the form of cash payments, gifts or any other contributions or benefits during their working activities. This applies to the relations towards individuals, businesses and official authorities or other institutions. Particularly no benefits shall be offered or provided to official representatives of domestic and foreign institutions. Exceptions are only common occasional or promotional gifts, refreshment or other occasional benefits of a demonstrably low value.

6. INTERNAL INFORMATION

Any information received by employees as part of their work shall not be used by employees for their own purposes or in the interest of third parties. If employees receive any information on internal affairs of customers or FOSTER FACILITY which may affect the listing on the stock exchange, such information shall be treated as confidential and shall not be passed to any third party. Use of this information for their own or foreign purposes is strictly prohibited.

7. CONFIDENTIALITY AND DATA PROTECTION

A large part of the business information of FOSTER FACILITY is confidential or legally protected, and it is therefore covered by the duty of confidentiality. This does not apply if the disclosure of such information is approved by FOSTER FACILITY or the disclosure is required by law or regulation.

The duty of confidentiality applies specifically to intellectual property, which includes trade secrets, patents, trademarks, brands and copyrights, as well as business and marketing plans, designs, business documents, information on salary and any other undisclosed financial data and reports.

All personal information about employees, customers, business partners and suppliers as well as the other third parties are used by FOSTER FACILITY with due diligence, preserving the principle of confidentiality and strict compliance with the legislation on data protection. The utmost attention shall be paid to the protection of such information.

8. BEHAVIOUR IN PERSONAL CONTACT

FOSTER FACILITY and its staff shall act fairly and with respect in contact with customers, suppliers, co-workers and other persons. They shall not violate human dignity and privacy. All employees are obliged to act candidly, fairly and respectfully with each other and seek common solutions to problems that arise.

9. PROHIBITION OF DISCRIMINATION

Discrimination based on sex or sexual orientation, age, religion or beliefs, race or ethnicity, national or social origin, or disability is prohibited. In international relations, it is necessary to respect the customs of other nations. Employees and executives are obliged to actively oppose discrimination.

10. IMPLEMENTATION AND MONITORING OF COMPLIANCE

The rules contained in this Code of Conduct belong to the pillars of the corporate culture of FOSTER FACILITY. Uniform application of these principles is inevitable. Responsibility is borne by each employee.

If an employee has any questions or comments on the points that are contained in this Code of Ethics, or has knowledge of a possible breach of the rules of conduct that are contained in it, such employee should promptly contact his/her supervisor. It can also be done anonymously or under the principle of confidentiality.

11. RESPONSIBILITY

The rules of this Code of Conduct are binding on all employees and managers of FOSTER FACILITY. The Code of Conduct includes values, principles and rules of conduct underpinning FOSTER FACILITY in their business activities. The aim of the company’s management is to follow ethical standards and create a work environment that promotes integrity, respect and fair behaviour.

Consequences shall be drawn from any breach of this Code of Ethics. In severe cases its breach can lead to termination of employment.
